Boosts

Upgrading a normal item will create an Exceptional item and upgrading an item that is Exceptional will create an Elite version of the same base item. The item will keep the same stats it had prior to upgrading however it will also get an additional bonus due to its new base type. The bonus will be randomly selected from the following: a chance to obtain weapons with a higher damage range or an enhanced reload speed or a chance to acquire an increased defense roll.
The amount of extras you can get with an upgrade depends on the number of upgrades done. Each upgrade boosts the additional benefits by an increment of 1 up to a maximum of three. In addition, each upgrade will also increase the main stat by +1.
In addition to the stat increase, some upgrades will also provide a random boost. These boosts can be useful and should be taken into consideration when deciding what items to upgrade. Some boosts are suitable for specific builds (such as Whistan's shield in FB sorcs) while others can bring an enormous amount of value to certain collectors.
Certain items come with inherent boos that are less effective when upgraded, such as the Goldwrap that gives you additional slots for potion. They are often upgraded to add value to a close-to-perfect or perfect item.
Costs
There are a few expenses that are associated with upgrades to items. The first is the cost to perform the upgrade. The cost for this upgrade can be costly and depends on the new ilvl of the item and the number of perks it receives. Upgrades to a higher level (such as Explorer to Champion or Veteran to Heroic) are costly.
The second is the cost of materials required to upgrade. The items used are usually either Power Dices (dropped by monsters 21and up) or Minerals and Erons (obtainable through completing specific Mists of Pandaria or Warlords of Draenor quests). These materials are available in the inventory of an Upgrade Vendor.
The process of upgrading an item is an intricate process that requires time. It can take 8 hours, depending on the size of an upgrade. The upgraded item's base stats are calculated using the item's new ilvl bonuses, perks, and other properties. This calculation determines the new Armor Class bonuses, damage dice, as well as other important statistics. In some cases, the upgrade will grant additional perks that can be selected from a variety of perks.
In rare instances, the upgrade will replace only the highest-costing perks. Sometimes, the upgrader will make other modifications to an item, like changing its weapon damage type or or removing an unwieldy or operative property. The cost for these changes is determined by the new ilvl of the item, and may require a special substance, such as adamantine alloy.

It allows you to upgrade that piece of equipment to the next level without having to worry about breaking.
